TRW Automotive Announces Plan to Refinance Existing Credit Facilities

Nov 12, 2004

TRW Automotive Holdings Corp. (NYSE: TRW) today announced its intention to refinance $1.7 billion of its existing $2.0 billion credit facilities with $1.9 billion of new credit facilities. The new credit facilities will improve the Company's financial flexibility and are expected to be comprised of an $850 million revolving credit facility, a $250 million tranche A term loan facility and an $800 million tranche B term loan facility. The Company plans to retain its recently completed $300 million tranche E term loan facility. The increase in availability under the new facilities results from the expected increase in the amount of the revolving credit facilities. Additionally, the Company expects to amend certain other terms of the secured credit facilities. The Company plans to close the transaction by year-end, with funding expected to occur shortly thereafter.
